Terms of service.

By accessing or using Holy you agree to these Terms of Service and to our Privacy Policy. If you are agreeing on behalf of a church or organization, you represent that you are authorized to bind it. If you disagree with any part of these terms, do not use the service.

Holy is a church management platform: member and household records, groups and ministries, events and check-in, communications, online giving, worship planning, a public church website, a member portal, and oversight across a diocese or network. Which of these your account may use depends on your plan. We may modify or discontinue parts of the service, and where a change is material we will give notice before it takes effect.

You are responsible for the confidentiality of your credentials and for everything done under your account. You agree to:

• ·Provide accurate and complete information
• ·Keep your login credentials secure
• ·Notify us immediately of any unauthorized access
• ·Not share an account between people — add each administrator as their own user

• ·Paid plans open with a 30-day trial. No card is required to begin. If no card is on file when the trial ends, the account returns to the Free plan and no record is removed.
• ·Paid plans are billed in advance — monthly, or annually at ten months’ price for twelve.
• ·Upgrading takes effect immediately and is prorated to the day. Downgrading takes effect at the end of the term already paid for.
• ·Fees are exclusive of any sales or value-added tax your jurisdiction imposes; where we are required to collect it, it is added at checkout.
• ·Fees are non-refundable except where the law requires otherwise. You may cancel at any time, and the service continues to the end of the period you have paid for.
• ·If a payment fails we retry it and notify you. An account that remains unpaid after the grace period is restricted rather than deleted.

Giving is processed through your own Stripe account, connected to Holy by you, and funds settle directly to you. Emito Consulting Service LLC takes no share of any donation. Stripe’s published processing rate applies — 2.9% + $0.30 on a card, 0.8%, capped at $5 on a bank transfer — and your use of Stripe is governed by your agreement with Stripe. You are responsible for issuing the tax receipts your jurisdiction requires; the platform generates contribution statements to assist you.

You agree not to use Holy to:

• ·Violate any applicable law or regulation
• ·Infringe the rights of others
• ·Transmit harmful or malicious content
• ·Send unsolicited bulk messages to people who have not consented to hear from you
• ·Attempt to gain unauthorized access to our systems, or to another church’s records
• ·Resell or white-label the service without a written agreement

Security testing is welcome under the terms of our vulnerability disclosure policy, which grants safe harbour for research conducted within it.

Your church owns its records. We hold them as processor on your instructions, on the terms of our Data Processing Addendum. You may export every record at any time, in CSV and JSON, without asking us — please do so before you close the account. After closure we keep your data for 90 days, so it can be restored if you ask, and then delete it, save for donation records, which are kept in anonymized form, and the audit log, which is kept for 7 years.

We aim to keep the service available continuously and publish live status at our status page, but we do not offer a contractual uptime guarantee on self-service plans. Planned maintenance is announced in advance where it will be disruptive. Support is by email at support@holyplatform.com; we aim to reply within one business day.

You may close your account at any time by deleting your church in its settings (cancel any paid subscription first). We may suspend or terminate an account that breaches these terms, that is used unlawfully, or that remains unpaid after notice. Except where a breach is serious enough to require immediate action, we will give notice and an opportunity to put it right, and will always allow an export of your records before deletion.

The Holy service, including its original content, features and functionality, is owned by Emito Consulting Service LLC and is protected by copyright, trademark and other intellectual property laws. Nothing here transfers any right in your own content, your church’s name, or your marks to us.

The service is provided “as is”, without warranties of any kind beyond those the law does not permit us to exclude. Emito Consulting Service LLC shall not be liable for any indirect, incidental, special, consequential or punitive damages, nor for lost profits or lost data, arising from your use of or inability to use the service. Our aggregate liability for any claim is limited to the fees you paid us in the twelve months preceding it. Nothing in these terms excludes liability that cannot lawfully be excluded.

These terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-law rules, and the courts of that state have exclusive jurisdiction over any dispute. If a provision is held unenforceable, the rest remains in force.

We may modify these terms. Where a change is material we will notify account administrators by email, or in the service, at least 30 days before it takes effect, and update the date at the head of this page. Continued use after that date constitutes acceptance.
